1. Acceptance of Terms
By accessing and using this website, you agree to comply with and be bound by these Terms of Service. If you do not agree with these terms, you must not use the website or any related services.
2. Definitions
- “Website” refers to https://meerkhat.co.za.
- “Service” means the Meerkhat platform, including the dashboard at https://app.meerkhat.co.za, our APIs, and any related software, integrations, and support we provide.
- “We”, “Us”, “Our” refer to MEERKHAT (Pty) Ltd.
- “You”, “User” refers to any person who accesses or uses the Website or the Service.
- “Meta” means Meta Platforms, Inc. and its affiliates, the operator of WhatsApp.
- “WhatsApp Business Account” or “WABA” means a WhatsApp Business Account registered with Meta and connected to the Service.
- “Business Customer” means an organisation that uses the Service to operate one or more WABAs.
- “End User” means an individual who exchanges WhatsApp messages or calls with a Business Customer through a WABA connected to the Service.
3. Use of the Website
- You may use this website only for lawful purposes and in accordance with these Terms.
- You agree not to use the website in a way that could damage, disable, or impair it.
- You may not attempt to gain unauthorized access to any part of the website, other users’ accounts, or systems.
4. User Accounts and Security
- If you create an account, you must provide accurate and complete information.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
- We reserve the right to suspend or terminate accounts that violate these terms or pose a security risk.
5. The Service and WhatsApp Business Integration
Meerkhat provides a WhatsApp Business middleware that enables a Business Customer to operate one or more WABAs from a multi-team browser dashboard, including sending and receiving messages, managing templates, and (where enabled) placing and receiving WhatsApp calls.
The Service is an interface to Meta's WhatsApp Cloud API and Graph API. Meta operates WhatsApp; Meerkhat is a Tech Provider that acts on the Business Customer's behalf using access tokens granted via Meta's Embedded Signup. Your access to messaging and calling features is subject to Meta's availability, policies, and enforcement.
The Business Customer retains ownership of its WABA, its phone numbers, its message templates, and its message history. We hold access tokens, two-step verification PINs, and related credentials solely to operate the Service on the Business Customer's behalf. These credentials are stored encrypted and are never shared with third parties other than Meta itself when making authorised API calls.
The Business Customer may disconnect a WABA from the Service at any time, which will cause us to revoke stored access tokens and stop further API calls on behalf of that WABA.
6. Acceptable Use of the WhatsApp Service
By using the Service to send or receive WhatsApp messages or calls, you agree to comply with Meta's policies as they apply to the WABA, including the WhatsApp Business Messaging Policy and the WhatsApp Commerce Policy.
You agree not to use the Service to:
- Send unsolicited promotional or marketing messages to End Users who have not opted in.
- Send messages that are illegal, fraudulent, deceptive, harassing, hateful, sexually explicit, or that infringe intellectual property.
- Send messages to phone numbers obtained without the End User's consent, including numbers obtained by scraping.
- Impersonate another person, brand, or business.
- Probe, scan, or attempt to bypass security controls of the Service or of Meta.
- Operate a business that is prohibited by Meta's policies (for example, illegal goods, certain regulated substances, or other categories Meta restricts).
The Business Customer is solely responsible for the lawful basis on which it processes End User personal information, including obtaining any consents required by the Protection of Personal Information Act (POPIA), the GDPR (where applicable), and any other law that applies to its messaging.
We may suspend or terminate access to the Service, or remove specific content, for actual or suspected violations of this section or of Meta's policies.
7. Quality, Rate Limits, and Meta Enforcement
Meta independently enforces quality ratings, messaging tiers, throughput limits, and other constraints on each WABA based on End User feedback, message volume, and policy compliance. The Service surfaces this information in your dashboard where Meta makes it available, but we do not control it.
We are not responsible for Meta-imposed message blocks, quality downgrades, tier changes, throughput restrictions, or number disables. Where reasonable, we will cooperate with the Business Customer in appealing a Meta enforcement action, but we cannot guarantee any particular outcome.
8. Fees and WhatsApp Charges
If the Service is offered to you on a paid plan, the applicable fees, billing cycle, and payment terms will be presented at signup or in a separate subscription agreement. Unless we tell you otherwise, fees are quoted exclusive of VAT.
WhatsApp conversation charges levied by Meta (per-conversation pricing, marketing/utility/authentication tiers, and any other Meta-imposed fees) are billed by Meta directly to the WABA owner. Meerkhat does not collect or remit those charges unless explicitly agreed in writing.
Failure to pay fees due to Meerkhat when due may result in suspension or termination of the Service after reasonable notice.
9. Intellectual Property
All content, trademarks, logos, and other intellectual property on the website are the property of MEERKHAT (Pty) Ltd or its licensors. You may not copy, modify, distribute, or reproduce any content without our written permission.
10. Third-Party Links
This website may contain links to third-party websites. We are not responsible for the content, terms, or privacy practices of those websites. Access them at your own risk.
11. Disclaimer of Warranties
This website is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the website will be error-free or uninterrupted.
12. Limitation of Liability
To the fullest extent permitted by South African law, MEERKHAT (Pty) Ltd shall not be liable for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use the website or its content.
13. Indemnification
You agree to indemnify and hold harmless MEERKHAT (Pty) Ltd from any claims, damages, losses, liabilities, or expenses arising from your use of the website or breach of these Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the South African courts.
15. Termination
We reserve the right to suspend or terminate your access to the Website or the Service at our discretion, without notice, if we believe you have violated these Terms or Meta's WhatsApp policies, or if we are required to do so by law or by Meta.
A Business Customer may terminate its use of the Service at any time by disconnecting its WABA(s) and closing its Meerkhat organisation.
On termination of the Service in respect of a Business Customer, whether by you or by us:
- We will revoke and delete stored access tokens and verification PINs for the affected WABA(s) and stop making API calls on your behalf.
- We will provide a reasonable period (by default, 30 days) for you to export your data from the Service.
- We will delete or anonymise your personal data on the schedule described in our Privacy Policy, except where law or a legitimate business reason requires longer retention.
Sections that by their nature should survive termination — including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law — will continue to apply.
16. Changes to These Terms
We may update these Terms of Service at any time. Changes will be posted on this page with an updated effective date. Your continued use of the website constitutes acceptance of the updated Terms.
